Agentra.io Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website agentra.io (the "Service") operated by Agentra.io ("us", "we", or "our"). By accessing or using the Service, you ("you" or "Customer") agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

2. Description of Service

Agentra.io provides AI consulting services, including the development and implementation of AI agents, autonomous AI agents, and AI-driven automation solutions. The specific services provided will be outlined in a separate agreement or proposal between Agentra.io and the Customer.

3. Customer Obligations

Provision of Information: Customer shall provide Agentra.io with all necessary information and data required for the performance of the services. Customer represents and warrants that it has the right to provide such information and data to Agentra.io.

Cooperation: Customer shall cooperate with Agentra.io in all matters relating to the services, including providing access to personnel, systems, and facilities as reasonably required.

Compliance with Laws: Customer shall comply with all applicable laws and regulations in connection with its use of the services.

Portfolio and References: Customer grants Agentra.io the right to display the work performed for Customer on Agentra.io's portfolio and to use Customer's logo and name as references in marketing materials.

4. Fees and Payment

Fees: Fees for the services will be as agreed upon between Agentra.io and the Customer in a separate agreement or proposal.

Payment: Payment terms will be as specified in the agreement or proposal. Late payments may be subject to interest charges.

Expenses: Customer shall reimburse Agentra.io for all reasonable expenses incurred in connection with the performance of the services, as agreed upon in the agreement or proposal.

5. Cancellation and Refunds

Cancellation by Customer: Customer may cancel the services at any time by providing written notice to Agentra.io. However, no refunds will be provided for services already performed.

Cancellation by Agentra.io: Agentra.io may cancel the services for any reason by providing written notice to Customer. In such event, Agentra.io will refund Customer any prepaid fees for services not yet performed.

6. Intellectual Property

Ownership: All intellectual property rights in the services and any deliverables provided by Agentra.io shall remain the exclusive property of Agentra.io.

License: Agentra.io grants Customer a non-exclusive, non-transferable license to use the deliverables solely for Customer's internal business purposes.

7. Confidentiality

Both parties agree to hold confidential all information received from the other party in connection with the services, and not to disclose such information to any third party without the other party's prior written consent.

8. Disclaimer of Warranties

The services are provided "as is" without warranty of any kind, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

In no event shall Agentra.io be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services, whether in contract, tort, or otherwise, even if Agentra.io has been advised of the possibility of such damages.

10. Indemnification

Customer shall indemnify and hold harmless Agentra.io from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to Customer's use of the services.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

12. Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

13. Amendments

Agentra.io may amend these Terms from time to time by posting the updated Terms on the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Agentra.io's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
